Terms of Service

1. The software we sell

Apex Satoshi Holdings, Inc. (“Apex Satoshi”, “we”) operates apexsatoshi.com. We sell a hosted software subscription: policy templates, allocation algorithms, board-pack reporting, and related treasury tooling. A paid plan is a limited, non-exclusive, non-transferable license to use the software for your internal corporate treasury operations during the billing term.

This is software-as-a-service. It is not an investment contract, not a security, not a Bitcoin purchase, and not a custody or advisory relationship. We do not hold, transmit, or exchange digital assets on your behalf.

2. Accounts

You must provide accurate billing contact information. You are responsible for activity under your login.

Holdings, NAV, and FX in the treasury app follow the operator price and published FX table unless you connect a live market or custody feed.

3. Fees, Stripe, and taxes

List prices are published on https://apexsatoshi.com/pricing. Paid Subscribe opens live Stripe Payment Links. When Stripe API keys are also configured on this deployment, in-app Checkout Sessions can charge as well. Evaluation unlock on /checkout records a receipt on this device and does not move money.

Annual plans are billed as ten months prepaid (two months complimentary at list). Prices are shown in the currency you select using a published FX table; the USD equivalent is always displayed. You are responsible for applicable taxes. Failed or disputed payments may suspend Pro surfaces until the invoice is settled.

4. Refunds

If you cancel in writing to treasury@apexsatoshi.com within fourteen (14) days of a first live Stripe charge and have not exported board packs or one-pagers, we will refund that charge. After fourteen days, or on any renewal, fees are non-refundable except where required by law. Evaluation receipts are not charges and are not refundable.

5. Acceptable use

You will not reverse engineer the service, overload it, resell seats without a written enterprise order, or use the product to market unregistered securities. You will not treat algorithm output as a promise of profit. There are no guaranteed returns.

6. Disclaimers and liability

THE SOFTWARE IS PROVIDED “AS IS”. We disclaim implied warranties of merchantability, fitness, and non-infringement to the fullest extent permitted by law. Bitcoin is volatile. Policy engines and backtests on seeded history are not forecasts.

Our aggregate liability for a paid term is limited to the fees you actually paid us in the three months before the claim. We are not liable for lost profits, lost BTC, custody failures of third parties, or decisions you make from this software.

7. Law
